Terms of Service

The terms governing your access to and use of Cloudtuner — our website, dashboards, software, APIs, AI capabilities, managed cloud services and professional consulting.

Introduction

These Terms of Service ("Terms") govern your access to and use of Cloudtuner, including its website, dashboards, software, APIs, artificial intelligence capabilities, managed cloud services, professional consulting services, and related offerings (collectively, the "Services").

Cloudtuner is a product operated by:

  • Roboi Private Limited

    India

  • Robo Intelligence Information Technology LLC

    United Arab Emirates

(collectively referred to as "Cloudtuner", "Company", "we", "our", or "us").

By accessing or using the Services, you agree to be bound by these Terms.

Eligibility

You represent that:

  • you are at least 18 years of age;
  • you have authority to act on behalf of your organisation;
  • all information provided is accurate and complete;
  • your use of the Services complies with applicable laws and regulations.

Services

Cloudtuner provides enterprise cloud operations solutions, including but not limited to:

  • Cloud Financial Operations (FinOps)
  • Cloud Security Operations (SecOps)
  • AI-assisted cloud monitoring
  • Cloud cost optimisation
  • Security posture assessments
  • Infrastructure analytics
  • Compliance monitoring
  • Managed cloud security services
  • Cloud governance
  • Professional consulting
  • Custom integrations
  • Dashboards and reporting

Certain features may require separate Statements of Work (SOWs), Master Service Agreements (MSAs), or subscription plans.

Account Responsibilities

You are responsible for:

  • maintaining the confidentiality of account credentials;
  • restricting unauthorised access;
  • ensuring authorised users comply with these Terms;
  • notifying us promptly of suspected unauthorised use.

You remain responsible for all activity occurring under your account.

Customer Data

You retain ownership of all customer data uploaded to or processed through Cloudtuner.

You grant Cloudtuner a limited, non-exclusive licence to process such data solely for:

  • providing the Services;
  • maintaining security;
  • generating reports;
  • improving system performance;
  • fulfilling contractual obligations.

Except where expressly authorised, Cloudtuner does not claim ownership of customer data.

AI-Assisted Services

Cloudtuner incorporates Artificial Intelligence and Machine Learning to assist with:

  • anomaly detection;
  • threat identification;
  • infrastructure optimisation;
  • security recommendations;
  • cloud cost optimisation;
  • predictive insights;
  • operational analytics.

AI outputs are advisory in nature and should not be treated as definitive operational, legal, financial, or cybersecurity advice. Customers are responsible for reviewing recommendations before implementation.

Managed Security Services

Where Cloudtuner provides managed cloud security services, activities are limited to the scope agreed in the applicable contract or Statement of Work.

Unless expressly agreed in writing, Cloudtuner does not assume responsibility for:

  • acting as the customer's Chief Information Security Officer (CISO);
  • regulatory compliance obligations;
  • incident response ownership;
  • disaster recovery management;
  • business continuity management.

Acceptable Use

You agree not to:

  • use the Services for unlawful purposes;
  • attempt unauthorised access to any systems;
  • interfere with platform availability;
  • upload malicious software;
  • reverse engineer the platform except where permitted by law;
  • misuse APIs;
  • use the Services to attack or compromise third-party systems;
  • infringe intellectual property rights.

Cloudtuner may suspend access where misuse is reasonably suspected.

Customer Responsibilities

Customers remain responsible for:

  • cloud architecture decisions;
  • infrastructure configuration;
  • identity and access management;
  • access control policies;
  • backup strategies;
  • disaster recovery;
  • patch management;
  • regulatory compliance;
  • data classification;
  • encryption decisions;
  • monitoring privileged access.

Cloudtuner provides recommendations and tooling but does not replace internal governance unless explicitly agreed in writing.

Security

Cloudtuner follows recognised industry security practices, including, where appropriate:

  • encryption in transit;
  • encryption at rest;
  • role-based access control;
  • least-privilege access;
  • multi-factor authentication;
  • audit logging;
  • vulnerability management;
  • secure software development practices.

While we continually improve our security posture, no technology can eliminate all cybersecurity risks.

No Guarantee of Security

Cloudtuner is intended to improve visibility, governance, operational efficiency, and cloud security.

However:

  • no platform can guarantee complete protection from cyber threats;
  • new vulnerabilities emerge continuously;
  • attackers constantly evolve their techniques;
  • AI models may produce inaccurate, incomplete, delayed, or false recommendations.

Accordingly, Cloudtuner does not warrant that the Services will prevent:

  • cyberattacks
  • ransomware
  • phishing
  • insider threats
  • zero-day attacks
  • data breaches
  • cloud outages
  • service interruptions
  • unauthorised access
  • business interruption

Customers should maintain independent security controls, monitoring, backups, and incident response capabilities.

Service Availability

Cloudtuner aims to provide high service availability but does not guarantee uninterrupted or error-free operation.

Maintenance, upgrades, third-party service failures, internet disruptions, cloud provider outages, force majeure events, and other circumstances beyond our reasonable control may affect availability.

Intellectual Property

Cloudtuner retains all rights, title, and interest in:

  • software;
  • dashboards;
  • algorithms;
  • AI models;
  • documentation;
  • trademarks;
  • reports;
  • methodologies;
  • interfaces;
  • source code;
  • product designs.

No ownership rights are transferred to customers except as expressly agreed.

Confidentiality

Each party agrees to protect the other's confidential information using reasonable care and to use such information only for purposes related to the Services.

Confidentiality obligations survive termination of the agreement.

Fees and Payment

Fees are governed by the applicable subscription, quotation, purchase order, MSA, or Statement of Work.

Unless otherwise agreed:

  • invoices are payable within the agreed payment terms;
  • overdue amounts may attract applicable interest where legally permitted;
  • non-payment may result in suspension of Services.

Limitation of Liability

To the fullest extent permitted by applicable law:

Cloudtuner shall not be liable for:

  • indirect losses;
  • consequential damages;
  • loss of profits;
  • loss of revenue;
  • loss of business opportunity;
  • loss of goodwill;
  • loss of anticipated savings;
  • data corruption;
  • business interruption;
  • regulatory penalties arising from customer actions or omissions;
  • cyberattacks by third parties;
  • cloud provider failures;
  • internet outages;
  • customer misconfigurations;
  • decisions made solely on AI-generated recommendations.

Except in cases of fraud, wilful misconduct, or liability that cannot be excluded by law, Cloudtuner's aggregate liability arising from any claim relating to the Services shall not exceed the total fees paid by the customer to Cloudtuner during the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Cloudtuner, its affiliates, directors, officers, employees, and partners against claims arising from:

  • your misuse of the Services;
  • violation of these Terms;
  • infringement of third-party rights;
  • unlawful activities conducted through your account;
  • customer-provided content or configurations.

Suspension and Termination

Cloudtuner may suspend or terminate access where:

  • these Terms are breached;
  • payment obligations remain outstanding;
  • unlawful activity is suspected;
  • continued access presents a security risk.

Customers may terminate Services in accordance with their subscription or contractual commitments.

Third-Party Services

Cloudtuner may integrate with third-party services such as AWS, Microsoft Azure, Google Cloud Platform, Kubernetes, identity providers, SIEM platforms, ticketing systems, and other enterprise software.

Cloudtuner is not responsible for the availability, performance, security, or policies of third-party providers.

Privacy

Use of the Services is also governed by the Cloudtuner Privacy Policy, which forms an integral part of these Terms.

Force Majeure

Neither party shall be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, war, civil unrest, government actions, internet failures, telecommunications outages, labour disputes, pandemics, or failures of cloud infrastructure providers.

Changes to the Services

Cloudtuner may modify, improve, replace, or discontinue features of the Services as part of ongoing product development.

Where changes materially affect contracted functionality, reasonable notice will be provided where practicable.

Governing Law

These Terms shall be governed by the laws specified in the applicable customer agreement. Unless otherwise agreed in writing:

  • contracts entered into through Roboi Private Limited shall be governed by the laws of India; and
  • contracts entered into through Robo Intelligence Information Technology LLC shall be governed by the laws of the United Arab Emirates.

Any disputes shall be submitted to the courts or dispute resolution forum having jurisdiction under the applicable contract.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with the applicable Privacy Policy, Master Service Agreement, Statement of Work, subscription terms, and any written amendments, constitute the entire agreement between the parties regarding the Services.
